How does SPV naming work?
This article explains the three-name structure Sydecar uses for SPVs and the rules that apply to each field.
The Three Name Fields
Company legal name
The company, SPV, or fund you are investing into's legal name (e.g., AcmeCo Inc.). This field sets the basis for auto-generated deal display and SPV legal names, and auto-populates those fields after you enter it.
You cannot update the legal name of the company after your deal is approved.
Deal display name
What your investors see across the platform: their Invest table, the deal page, and all communications. Auto-generated as [Target] [Month] [Year] (e.g., AcmeCo June 2026).
You can update this at any time.
SPV legal name
This is the legal name of the SPV. It is a short identifier used in legal documents and public filings, that is auto-generated from your target's initials plus a two-digit month and year (e.g., aco0626).
You can edit the legal name before submitting a deal, but it must be unique within your master LLC, and it cannot be changed after you submit the deal for review. This is because the legal name appears in Form D filings and EIN registrations.
SPV Naming rules
A few restrictions apply to the SPV legal name:
- "Inc," "LLC," “PBC,” "Bank," “Ltd,” “Corp,” and similar terms are not permitted
- Non-ASCII characters (accents, symbols) are not permitted
- Names cannot exceed 56 characters
- SPV legal names cannot include the target company name
- SPV legal names must be unique within your master LLC
The platform flags restricted terms and duplicate names inline before you submit, so you can correct them before your deal goes into review.

Why the target company name cannot appear in the SPV legal name
SPV names that closely mirror a target company's brand can infringe on their trademark. When that happens, target companies can issue cease-and-desist letters requiring name changes after filing. Excluding the target name from the legal name protects both you and Sydecar from that exposure.
