What does co-investing mean for the fund?

It means that your fund can allow co-investors to participate on a per deal basis while preserving your exemption status from registration! (PLEASE NOTE: you may still have to register as an “exempt reporting adviser” which is a requirement for all exempt advisers, and a much lighter burden than full registration as an adviser - please talk with your counsel).
