What the responsibilities of the Administrator, the Advisor and the Organizer?

The Administrator has the primary responsibilities to handle accounting, financial reporting, record capital contributions, and prepare capital account statements, file taxes, or manage distributions. Generally, Sydecar assumes these responsibilities for the simple reason that its product is built to perform these administrative and operational tasks - thus freeing you time to make deals rather than spreadsheets.

The Organizer provides instructions to the Administrator with respect to strategic decisions related to the management of the fund. For example:

  • Admission of Members.
  • Removal of the Administrator.
  • Action to take in case of default of an investor.
  • Spinning up co-investors SPVs.
  • Determine when to make distributions.
  • Allocation of specific Net Income and Net Loss, to the Organizer.
  • Determining the date of dissolution of the Fund.

The Advisor provides investment management services as described in the Advisory Agreement. For example:

  • Advise on investment decisions.
  • Advise on raising co-investors SPVs.
  • Advise on any matter related to portfolio companies securities.
  • Advise on distributions.
  • Advise on side letters.
